Terms and Conditions

1. Scope and Provider

These Terms and Conditions ("Terms") apply to the use of the mobile application "prioiq" (the "App") and to all paid subscriptions concluded through it. The provider of the App is:

By registering a user account, the user accepts these Terms. Our Privacy Policy applies in addition with regard to the processing of personal data.

2. Formation of Contract

Upon successful registration of a user account, a free-of-charge usage agreement is formed between the user and the provider covering the free basic version of the App (Free tier).

If the user chooses a paid subscription (Pro or Premium), an additional paid agreement covering the extended feature set is formed. This agreement is concluded upon completion of the order process via the payment provider Stripe.

3. Description of Services and Pricing

The App offers the following tiers:

All prices are final prices. The provider reserves the right to further develop the feature set of the respective tiers; material changes will be communicated as set out in Section 8.

4. Free Trial

A one-time 7-day free trial is available per user account for Pro and Premium. The payment method is collected at the start of the trial during checkout. If the subscription is not cancelled via the customer portal before the 7 days expire, the stored payment method will be automatically charged the regular price and the subscription will move to regular billing. Cancelling during the trial period results in an immediate downgrade to the Free tier.

5. Payment, Term, and Cancellation

Paid subscriptions are processed via the payment provider Stripe and automatically renew for the respective billing period (month or year) unless cancelled beforehand.

The user may cancel their subscription at any time independently via the Stripe customer portal linked within the App. There is no minimum term or notice period. Cancellation takes effect at the end of the already-paid billing period; full access to the booked features remains available until then.

In the event of a failed payment (e.g. an expired card), Stripe performs automated retry attempts (Smart Retries). If these ultimately fail, the user account is automatically downgraded to the Free tier.

6. Right of Withdrawal for Consumers

Consumers generally have a statutory right of withdrawal within 14 days of contract formation. Within this period, the agreement for a paid subscription may be withdrawn without giving reasons by notifying the provider at support.prioiq@gmail.com.

In the event of a valid withdrawal, any payments already made will be refunded without undue delay, and at the latest within 14 days of receipt of the withdrawal notice.

7. User Content

Content created or uploaded by the user within the App (e.g. tasks, notes, project names) remains entirely the property of the user. The provider acts solely as a technical custodian of this data and does not claim any usage or exploitation rights to such content. User content is not used to train AI models.

8. Changes to Prices and Services

The provider reserves the right to adjust prices and the feature scope of the tiers offered as the App is further developed. Existing subscribers will be informed of material price changes by email and, optionally, via social media channels and/or in-app notices. Price changes for existing subscribers will take effect at the earliest with the next billing period following the announcement, subject to a minimum notice period of 30 days.

9. Availability and Liability

The App is under continuous development. In particular around launch, some features may not yet be available and will be added at a later point in time. The provider does not guarantee any particular level of availability of the App and notes that technical disruptions or crashes may occur.

The provider is liable without limitation for intent and gross negligence, and in accordance with the German Product Liability Act (Produkthaftungsgesetz). Beyond that, the provider's liability, in particular for data loss, is excluded to the extent permitted by law. Users are advised to independently back up or export important content.

In the event of a violation of these Terms, the provider reserves the right to suspend or delete the affected user account.

11. Minors

Use of the App requires a minimum age of 16, as set out in our Privacy Policy. Under German law, individuals between the ages of 7 and 17 have limited legal capacity (§ 107 German Civil Code). This is unproblematic for the free Free tier. For entering into a paid subscription (Pro or Premium), however, the consent of a parent or legal guardian is required for the contract to be validly formed.

12. Governing Law

These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers with habitual residence in another EU member state, this choice of law does not affect the mandatory consumer-protection provisions of that state.

13. Severability and Final Provisions

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provision.

The provider reserves the right to amend these Terms whenever changes to the App or the applicable law make this necessary. The version in effect at the time of use shall apply.

These Terms are also made available in German. In the event of discrepancies or questions of interpretation, the German version shall prevail.
